Carell Solutions Pty Ltd – Terms of Use

Effective Date: 1st of Jul 2025

These Terms of Use ("Terms") govern your access to and use of the Carell Solutions platform and associated services ("Services") provided by Carell Solutions Pty Ltd (ABN 93 140 000 022), an Australian registered company ("Carell Solutions", "we", "us" or "our").
By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

  • Administrator: A user who has access to manage the organisation’s account.

  • Organisation: A registered entity using the Services.

  • User: Any individual or entity who accesses the platform, including Administrators, Members, and Guests.

  • Content: Any data, files, text, images, video, audio, or other material shared or created using the Services.

2. Eligibility and Registration

To use the Services:

  • You must be at least 18 years old, or 13+ with parental consent.

  • Organisations must be validly registered entities.

  • You must provide accurate and complete registration information.

Organisations must ensure:

  • The first person registering is authorised to act on behalf of the entity.

  • Valid payment information is provided where applicable.

3. Account and Security

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You must notify us at [email protected] immediately of any unauthorised access.

  • Use strong, secure passwords and avoid sharing login details.

4. Use of Services

You may:

  • Create, post and share Content within your organisation or with invited third parties.

  • Assign tasks, track activity, and manage projects.

  • Invite guests and external users under your organisation’s control.

You must not:

  • Use the Services for any unlawful purpose.

  • Copy, modify, or reverse-engineer the platform.

  • Circumvent any security or access controls.

5. Content Ownership and Moderation

  • You retain ownership of the Content you create.

  • You grant us a licence to host and share that Content within the Services.

  • Administrators may moderate and remove Content at their discretion.

You warrant that your Content:

  • Does not infringe third-party intellectual property.

  • Is not unlawful, defamatory, obscene, discriminatory or offensive.

  • Complies with our Acceptable Use Policy.

6. Artificial Intelligence (AI) and Large Language Models (LLMs)

We may, at our discretion, integrate artificial intelligence (AI) tools or large language models (LLMs) into the Services to enhance functionality, offer intelligent insights, or streamline user experience. Where used:

  • AI features may analyse your Content or usage patterns to generate suggestions, summaries, insights or other outputs.

  • We will not use your Content for training third-party AI models.

  • Data processed through AI tools will remain subject to our Privacy Policy and security safeguards.

  • You acknowledge and agree that AI outputs are not guaranteed to be accurate or complete and should not be solely relied upon for critical decisions.

7. Service Availability and Support

  • We strive to maintain service availability but do not guarantee uninterrupted access.

  • We may update or change the Services from time to time.

8. Fees and Payment

  • Fees are payable in accordance with your selected plan.

  • Trial periods may be offered at our discretion.

  • Upgrades or additional usage may incur additional charges.

  • Fees are non-refundable, except where required by law.

Please refer to our [Privacy Policy] for full details. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

10. Intellectual Property

All intellectual property in the platform remains owned by Carell Solutions. Feedback you provide may be used by us without obligation.

11. Limitation of Liability

Nothing in these Terms limits your rights under the Australian Consumer Law.

To the maximum extent permitted by law:

  • We exclude liability for any indirect or consequential loss.

  • Our liability is limited to the fees paid by you in the previous 6 months.

12. Termination

  • You may terminate your account at any time with 30 days minimum notice.

  • We may suspend or terminate access for breach of these Terms or misuse.

  • Upon termination, you will have 30 days to retrieve your Content.

13. Amendments

  • We may update these Terms from time to time.

  • You will be notified at least 14 days prior to changes taking effect.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Australia. Any disputes will be subject to the non-exclusive jurisdiction of the courts of Australia.
